Nutrisystem, Inc. Recipe Program Terms & Conditions
Participants must be 18 years of age or older and may submit multiple recipes at their discretion. Nutrisystem does not guarantee that all recipes will be featured on The Leaf, nor the specific timing for publication on The Leaf. Recipes will be published at random and at the sole discretion of Nutrisystem.
With respect to each recipe submitted, participant agrees that he/she is the sole author of the recipe, free of plagiarism. Participant agrees to use reasonable care to ensure that the recipe submitted does not infringe on copyright, right of privacy, proprietary right, right of publicity or any other right of a third party.
With respect to each photograph submitted to accompany a recipe(s), participant warrants and represents that (i) the photograph(s) is original and novel to participant; (ii) participant is the sole author of the photograph(s); (iii) participant has not licensed, transferred or otherwise conveyed any rights in or to any of the photograph(s); (iv) the providing of the photograph(s) to Nutrisystem, and/or the use thereof by Nutrisystem, will not violate the rights of any third party, and (v) participant owns all rights necessary to grant the rights and assume the obligations set forth in these Terms and Conditions.
By submitting your recipe, you grant Nutrisystem and its related entities (“Nutrisystem”) the irrevocable right and permission to reproduce, publish, distribute and use your recipe, in such manner, for such purposes, and with such frequency, in whole or in part, in any and all media, worldwide, in perpetuity, and royalty free as Nutrisystem shall determine in its sole discretion, without further compensation or consideration to you.
By submitting a recipe on The Leaf, you warrant that you have the ability to grant the aforementioned rights to Nutrisystem. You further agree not to instigate, support, maintain or authorize any action, claim or lawsuit against Nutrisystem, on the grounds that any use of the submission, or any of derivative works, infringes your rights. Nothing herein shall constitute an employment, joint venture or partnership relationship between you and Nutrisystem.
By submitting a recipe, participant agrees to release and hold harmless Nutrisystem and their respective officers, directors, employees and agents (the “Released Parties”) from and against any claim or cause of action arising out of the recipe or the publishing of the recipe. Participant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages.
Except where prohibited, participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the recipe submissions or any published recipe, and applicable photographs, shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Pennsylvania. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, participant’s rights and obligations, or the rights and obligations of Nutrisystem in connection with the recipe submission, shall be governed by, and construed in accordance with, the laws of Pennsylvania, without giving effect to any choice of law or conflict of law rules (whether of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Pennsylvania.
